Instroduction

The Internal Regulation of the Michael of Nébadon Institute establish the operational, administrative, and institutional guidelines that govern the functioning of the Institute. This document complements the Social Statute, detailing the internal norms, responsibilities, and procedures that guide all servers, volunteers, and collaborators.

Throughout this regulation, the standards that ensure transparency, organization, and governance within the Institute are presented, ensuring that all activities align with its principles and objectives.

This document must be observed and followed by all servers of the Michael of Nébadon Institute, fostering a harmonious, collaborative, and committed environment with the values of the human community.

Chapter Two

Headquarters

Article 2. The Michael of Nébadon Institute has its headquarters and legal domicile in the city of Rio de Janeiro, with its fiscal address at Avenida das Américas, 4200, Block 01, Room 305 – Barra da Tijuca, Rio de Janeiro – RJ, Brazil, ZIP Code: 22640-907.

Sole Paragraph: The Institute may open branches and establish other legal entities of its interest in any location within the national territory or abroad, aiming for the best performance of its activities. Each unit must have its own registration and be enrolled in the National Register of Legal Entities (CNPJ) or the corresponding legal framework of the country where it is established.

Article 3. The Michael of Nébadon Institute is established for an indefinite duration.

Chapter Three

Objectives and Purposes

Article 4. The Michael of Nébadon Institute has as its primary purpose the establishment, generation, and maintenance of a Gold Reserve Fund. This fund will be managed, administered, and invested exclusively by the Institute, through its own investment company, ensuring the allocation of resources to Social, Professional, Personal, and Entrepreneurial Projects.

Paragraph One: The Institute's actions extend to local, regional, national, and international levels, promoting projects in all key pillars essential to an advanced and evolved society. Among its areas of operation are environmental preservation, animal welfare, and protection.

Paragraph Two: The projects of the Institute will be developed, planned, shared, and executed exclusively by the Institute’s own team of servers, utilizing all legally available instruments for their implementation.

Paragraph Three: To achieve its goals and objectives, the Michael of Nébadon Institute may suggest, promote, collaborate, coordinate, or execute actions and projects aimed at:

I. Research and development of a project for the creation of a Bilingual, Self-Sustainable Model School, to be implemented by the team of servers of the Michael of Nébadon Institute or through partnerships with similar institutions or associations, whether national or foreign.

a) The objective of the project is to expand the Model School to all regions of Brazil and to international communities facing deficiencies in basic and complementary education for children, young people, and adolescents.

II. Through the Model School Project and/or other available tools, forms, and means, the Michael of Nébadon Institute seeks to pave the way for the discovery and development of talents in various fields of knowledge.

a) The Institute will support scientists, researchers, inventors, entrepreneurs, writers, thinkers, composers, philosophers, and artists, offering an educational foundation that complements the basic education of children, young people, and adolescents.

b) Additionally, it will provide access to programs aimed at awakening and expanding consciousness, covering key pillars of life in society, such as culture, citizenship, intellect, morality, professional, technical, and spiritual development.

c) The objective is to inspire and promote a universalist environment, free from religious affiliations, founded on self-knowledge, unconditional love, and the teachings of Jesus Christ.

III. Conduct studies and research for the development and creation of self-sustainable projects that promote social well-being.

a) These projects will be planned, made available, and executed by the team of servers of the Michael of Nébadon Institute, as well as by similar institutions and associations, both national and foreign, benefiting the human community at local, regional, national, and international levels.

b) The Institute's actions will encompass all essential pillars of life in society, including the development, creation, and execution of initiatives focused on physical, mental, emotional, and spiritual health care.

IV. Research, develop, create, provide, and share projects aimed at the generation and use of electricity, promoting its efficiency and effectiveness in consumption and utilization.

a) These projects will make sustainable use of renewable sources and will be executed by the teams of servers of the Michael of Nébadon Institute, as well as by similar institutions and associations, both national and foreign.

b) The initiative aims to benefit the human community at local, regional, national, and international levels, contributing to environmental preservation and sustainable access to energy.

V. Research, develop, create, provide, and share projects in the fields of civil engineering and architecture, ensuring an economical, balanced, and sustainable use of material, physical, and human resources, always with low environmental impact.

a) These projects will be executed and utilized as tools and instruments of work by the team of servers of the Michael of Nébadon Institute, as well as by similar institutions and associations, both national and foreign.

b) The initiative aims to benefit the human community at local, regional, national, and international levels, promoting sustainable infrastructure and innovative solutions for urban and social development.

VI. Research, develop, create, provide, share, and execute self-sustainable projects focused on the care, defense of rights, and protection of domestic, rural, wild, and wildlife animals.

a) These projects will be administered and operated by the team of servers of the Michael of Nébadon Institute, as well as by similar institutions and associations, both national and foreign.

b) The initiative aims to benefit the human community at local, regional, national, and international levels, promoting concrete actions for the preservation of animal life and the strengthening of harmony between humans and animals.

VII. Research, develop, promote, create, and share projects that encourage the cultivation of organic food and the protection of fauna and flora.

a) These projects will be executed by the team of servers of the Michael of Nébadon Institute, as well as by similar institutions and associations, both national and foreign.

b) The initiative aims to benefit the human community at local, regional, national, and international levels, promoting sustainability, food security, and ecological balance.

VIII. Research, develop, promote, create, and execute investment projects aimed at young entrepreneurs, as well as initiatives for specialized advisory and support for managers and administrators of micro, small, medium, and large enterprises, whether national, international, or multinational.

a) These projects will seek to strengthen strategic partnerships and agreements, ensuring that all parties involved are aligned with the institutional, philosophical, and social objectives of the Michael of Nébadon Institute.

b) The initiative aims to drive economic and social development, promoting innovation, training, and sustainability in the businesses and projects supported by the Institute.

IX. Plan, establish, create, and develop a Self-Sustainable Model Community, governed by volunteer service and its own internal rules and regulations.

a) This community will be executed by the team of servers of the Michael of Nébadon Institute and shared with similar institutions and associations, both national and foreign, promoting a sustainable model of organization and community living.

X. Provide assistance, advisory, support, and aid to institutions that promote rehabilitation programs for individuals with chemical and/or alcohol dependency, as well as to those receiving treatment in such institutions.

a) The objective is to facilitate their social and community reintegration, enabling their inclusion and active participation in the volunteer teams of the Michael of Nébadon Institute.

XI. Provide voluntary emergency assistance, at both national and international levels, in situations of public calamity, including natural disasters, accidents, and events caused by unconscious acts.

a) To this end, the Institute will mobilize mobile and local volunteer teams, ensuring the transportation and distribution of material resources to those affected.

b) Additionally, it will work in cooperation with authorities and official rescue teams, ensuring a more effective, efficient, and impactful service in supporting victims.

XII. Provide social assistance to the human community in the vicinity of the headquarters, offices, and agencies of the Institute, as well as at regional, national, and international levels, through the activation of mobile or local teams of servers.

a) To ensure adequate support, the Institute may contract emergency services and acquire necessary supplies and materials, addressing local shortages of material, technical, or professional resources.

b) This assistance will be provided not only to the economically disadvantaged but to the entire human community, ensuring dignity and support for all, regardless of financial status.

XIII. Promote ethics, peace, and fraternity among all peoples and nations, regardless of ethnicity, nationality, language, religion, color, race, or gender.

a) Act in strengthening citizenship, human rights, and universal values essential to life in a civilized and advanced human community, covering its social, cultural, and technological aspects.

b) The Institute positions itself as an agent promoting equality and equity, as well as conflict resolution, basing its actions on unconditional love and the teachings of Jesus Christ.

Paragraph Four: The commitment to the aforementioned activities takes place through the direct execution of projects, programs, and related action plans, utilizing monetary and material resources from donations, voluntary services, as well as physical, material, and/or financial resources generated through the operation of non-profit economic activities.

I. Additionally, the Institute may provide intermediary services to other institutions, associations, or similar foundations operating in related fields, ensuring the sustainability and expansion of its impact.

Article 5 – The Michael of Nébadon Institute understands the Human Community as the collective of all human beings, from all peoples and nations of the planet, integrated with the collective of all animals, whether domestic, rural, wild, or wildlife, aquatic or terrestrial, as well as the planet's fauna and flora.

Sole Paragraph: This concept reaffirms the interdependence between humans, animals, and the environment, promoting a model of harmony and balance among all forms of life.

Article 6. The Michael of Nébadon Institute shall maintain its institutional neutrality, refraining from involvement in religious, political, or any other matters that are not aligned with its institutional objectives.

Chapter Four

Body of Servers, Rights, and Duties

Article 7. The Michael of Nébadon Institute is constituted by the association of its founder with one more Effective Associate, who make up the Institute’s Administrative Board, formed by the President, the Executive Director, the Financial Director, and the General Assembly.

Article 8. Effective Associates are considered to be natural or legal persons, without legal impediments, who have signed the founding documents of the Michael of Nébadon Institute, as well as those who may be admitted under the sole paragraph of Art. 12 of the Social Statute.

Article 9. The Michael of Nébadon Institute will have an unlimited number of volunteer servers, who will be governed by the Brazilian Law No. 9,608, of February 18, 1998. The process of selection, administration, and human resources management will follow the guidelines, norms, and rules established in the Institute’s Internal Regulation.

Article 10. Advisory Servers are considered to be natural or legal persons, without legal impediments, who are nominated by the President, the Executive Director, or the Resident Servers of the Michael of Nébadon Institute. They are appointed by the General Assembly to be part of the Advisory Council of the Administrative Board.

Article 11. Resident Servers are considered to be natural or legal persons, without legal impediments, who contribute directly to the execution of projects, activities, actions, assignments, tasks, or functions necessary for the achievement of the objectives and statutory purposes of the Michael of Nébadon Institute.

Sole Paragraph: Resident Servers shall operate on a permanent basis and in a full-time regime, carrying out their duties at the headquarters, campuses, offices, or agencies of the Institute.

Article 12. Volunteer Servers are considered to be natural or legal persons registered with the Institute, who contribute by providing monetary, personal, material, patrimonial, professional, and/or intellectual resources to support the achievement of the objectives and social purposes of the Michael of Nébadon Institute. The participation of Volunteer Servers occurs on a temporary basis and in a part-time or full-time capacity.

Sole Paragraph: The entire body of servers, regardless of category, as well as the Effective Associates, are considered by the Michael of Nébadon Institute as investors of personal wealth. The division into categories is applied for strategic management purposes, facilitating the allocation and reallocation of resources and wealth contributed by the Human Community to the Institute, which will be used as tools and working instruments by our team of servants.

Article 13. The body of servers does not bear individual, joint, or subsidiary liability for the obligations of the Michael of Nébadon Institute, nor for acts performed by the Administrative Board.

The Rights

Article 14. The Effective Associates and all Volunteer Servers of the Michael of Nébadon Institute are entitled to the following rights:

I. Participate in all activities, events, courses, lectures, and public programs of entertainment organized by the Michael of Nébadon Institute.

II. Have a registration with an identification number for access to the premises of the Offices and Service Agencies of the Michael of Nébadon Institute or its affiliated partners, both within the national territory and abroad, while respecting access restrictions to specific areas according to the procedural rules and internal regulations of each unit.

III. In the event of a summons for meetings, training, or in-person capacity-building, be entitled to ground, air, and/or maritime transportation for travel to the premises of the Michael of Nébadon Institute or another designated location, as well as return to their respective places of origin.

IV. In the event of a summons for meetings, training, or in-person capacity-building, be entitled to accommodation in private or shared rooms in residences or internal premises of the Institute’s campuses, or in external accommodations owned or contracted by the Michael of Nébadon Institute, along with full meals provided by the Institute’s culinary service.

V. Submit proposals for the creation of social, personal, professional, and entrepreneurial actions, programs, and projects aligned with the Institute’s objectives, in accordance with the normative guidelines established in Chapter Eight of this Internal Regulation, which sets forth the procedures for submission, presentation, evaluation, and approval of projects.

VI. In cases of waiting lists for service at the Institute’s Offices, Volunteer Servers may opt for priority service based on their registration number, which follows a chronological order, in accordance with the guidelines set forth in Chapter Five of this Internal Regulation.

VII. Take part in commissions and related working groups when designated for such functions.

VIII. Have access to all accounting and financial books upon formal request submitted to the Financial Directorate of the Institute, as well as to all plans, reports, financial statements, and results of internal and independent audits, when available.

Paragraph One: The provisions of item VIII of this article are an exclusive right of the Effective Associates of the Michael of Nébadon Institute.

Paragraph Two: The rights established in this Internal Regulation are personal and non-transferable.

Article 15. The exclusive rights of the Effective Associates and the Resident Servers in the campuses and/or private external residences of the Institute are as follows:

I. Receive an identification number for access to the Headquarters, Offices, Campuses, and Agencies of the Michael of Nébadon Institute, both in Brazil and abroad. Access to specific areas will be regulated in accordance with procedural norms and internal regulations of each unit, sector, or department.

II. Have a private residence in the Institute's campuses or in locations where they are on duty, with access to land, air, and maritime vehicles, as needed for the effective performance of their duties.

III. Complete access to food services, provided by the Institute's culinary services. Have unrestricted but conscious access to food storage and distribution facilities located in the campuses or in proprietary, affiliated, or contracted external stores. In cases where food is needed from non-affiliated establishments, cost coverage will be provided.

IV. Right to medical and dental care, as well as access to gym, weight training, and sports facilities, either within the Institute’s premises or through affiliated or contracted external establishments.

V. Receive financial aid for necessary, useful, and urgent expenses, including the purchase of personal hygiene and care products and services, such as aesthetics, cosmetics, and clothing.

VI. Have continuous assistance for technical and professional training, in programs provided by the Institute or in externally affiliated or contracted institutions.

VII. Unrestricted access to leisure, entertainment, study, and relaxation areas, located within the Institute’s premises or in affiliated or contracted external establishments for this purpose, respecting operating hours and internal regulations.

Article 16. The following are exclusive rights of the Advisory Servers of the Michael of Nébadon Institute:

I. Receive an identification number for access to the Headquarters of the Michael of Nébadon Institute, respecting access restrictions to specific areas, in accordance with the procedural norms and internal regulations of the Institute's Official Headquarters.

II. In case of summons for in-person meetings, have the right to land, air, and/or maritime transportation to travel to the premises of the Michael of Nébadon Institute and return to their respective place of origin.

III. Accommodation in private rooms within the premises and campuses of the Institute, along with complete meals, provided by the culinary services of the Michael of Nébadon Institute.

The Duties

Article 17. The duties of Effective Associates and the Entire Body of Servers of the Michael of Nébadon Institute are:

I. Observe and comply with the guidelines and regulations established in the Statute, internal regulations, bylaws, deliberations, and resolutions of the Institute's internal bodies.

II. Cooperate in the development and strengthening of the Institute's prestige, promoting and disseminating its objectives and actions.

Sole Paragraph: Effective Associates and the Entire Body of Servers, regardless of category, must observe and comply with the restrictions and prohibitions established in Chapter Six of this Internal Regulation.

Article 18. A serious offense, subject to removal from the server ranks, includes any action that causes moral or material harm to the Institute, as well as failure to comply with the obligations set forth in items I and II of Article 17 of this Internal Regulation.

Sole Paragraph: The right to defense and appeal, as well as the administrative procedural process for investigation and judgment of offenses, must follow the provisions established in Chapter Seven of this Internal Regulation.

Chapter Five

The Registration and Selection of Volunteer Servers

Article 19. Any member of the Human Community, whether an individual or a legal entity, without legal impediments, of national or foreign origin, may request registration to become part of the Body of Servers of the Michael of Nébadon Institute, in accordance with Article 12 and the Sole Paragraph of this Internal Regulation.

Article 20. Registration will be carried out through the institutional webpage of the Institute or via a mobile application.

Sole Paragraph: All registered servers will receive an identification number, automatically generated by the management system of the Michael of Nébadon Institute.

Article 21. The Michael of Nébadon Institute will be fully digitized and remotely accessible, ensuring direct interaction between the Institute and its servers, through login and password.

Sole Paragraph: The process of selecting resident servers and remotely activating volunteer servers will be based on the personal data provided at the time of registration, which must be kept updated by the server.

Article 22. The official communication of the Michael of Nébadon Institute will be conducted through two distinct means:

I. Public Communication: Addressed to the Body of Servers (residents and volunteers) and the Human Community, through Official Notices published on the institutional website and the official social media channels of the Michael of Nébadon Institute.

II. Direct Internal Communication: Conducted by Senior Administration, managers, and team leaders, intended exclusively for selected or summoned servers for specific tasks, through the personal communication channels provided in the registration, including email, phone, SMS, social media, and other available means.

Article 23. The registration call and information regarding the selection process for resident servers will be disclosed through an Official Notice, published on the institutional website nebadon.org and on the official social media channels of the Michael of Nébadon Institute.

On the Selection Process for Resident Servers

Article 24 – The minimum requirements to be part of the Body of Resident Servers of the Michael of Nébadon Institute are:

I. Not being dependent on cigarettes, alcoholic beverages, toxic substances, drugs, or any hallucinogenic or similar substances, whether natural or chemical.

II. Having knowledge and acceptance of the rules, regulations, and principles of all internal sectors and departments of the Michael of Nébadon Institute.

III. Possessing a Certificate of Training and Technical Qualification, issued by the Education Department of the Michael of Nébadon Institute, to perform the assigned function.

Chapter Six

Code of Conduct, Restrictions, and Prohibitions

Article 25. The use and the effects of the use of the substances mentioned in item I of Article 24 of this Internal Regulation are strictly prohibited within the physical premises of the Institute, in partnered establishments, and during the provision of non-governmental public services.

Sole Paragraph: The resources of the Human Community Reserve Fund, allocated to the Institute, shall not be used under any circumstances for the acquisition of such substances.

Article 26. The cuisine within the premises of the Institute will specialize in vegan and vegetarian kitchens, with the latter preferably sourced from farms with a reputable history of ethical animal care or from the Institute’s own farms.

Sole Paragraph: The vegan kitchen of the Institute shall not use any animal-derived products, ensuring compliance with the ethical principles of vegan nutrition.

Article 27. Within the premises of the Michael of Nébadon Institute, the reproduction, transmission, or display of audio, video, or games containing offensive content or making apologies for crime, trafficking, war, violence, and the use of weapons and drugs of any kind shall not be permitted.

Article 28. Except for entertainment events organized by the team of the Michael of Nébadon Institute, the reproduction of audio and video in common areas of the Institute must comply with the local sector regulations regarding the permissible decibel levels.

Article 29. The Body of Servers of the Michael of Nébadon Institute is an integral part of the common heritage of the Human Community, and its existence and activities are incompatible with individual interests aimed at the accumulation of private wealth.

Sole Paragraph: The use of resources allocated and managed by the Institute must be exclusively dedicated to the fulfillment of its institutional objectives, and their use for any purpose that contradicts this principle is prohibited.

Chapter Seven

Administrative Procedure for the Investigation of Offenses

Article 30. The initiation of an administrative process for the investigation of offenses committed by servers may be requested through the following means:

I. By the Body of Volunteer Servers of the Institute, through direct contact with the Human Resources Department of the Michael of Nébadon Institute.

II. By any member of the Human Community, through the Offices and Regional Agencies or via the Contact Us channel available on the institutional website nebadon.org.

Article 31. The internal procedural rite for the investigation of offenses will be conducted by the competent sector of the Institute and will follow the guidelines established by the Administrative Advisory Council, as provided in Chapter Eight of this Internal Regulation.

Chapter Eight

Administrative and Organizational Structure

Article 32. The administrative and organizational structure of the Michael of Nébadon Institute is composed of bodies responsible for management, deliberation, and execution of institutional activities, ensuring the proper functioning of the Institute and the fulfillment of its objectives.

Sole Paragraph: The organizational structure of the Institute follows the following hierarchical composition:

I. General Assembly
II. Presidency
III. Executive Director
IV. Financial Director
V. Advisory Council and Fiscal Council
VI. Administrative and Operational Departments and Sectors

Administrative Structure

General Assembly

Article 33. The General Assembly is the highest governing body of the Michael of Nébadon Institute, composed of Effective Associates, and may, by decision, be extraordinarily composed of members of the Advisory Council and/or Resident Servers.

Paragraph One: Convened and established in accordance with current legislation and the Social Statute, the General Assembly has the authority to deliberate on all matters of interest to the Michael of Nébadon Institute, adopting resolutions considered necessary for its protection, defense, and institutional development.

Paragraph Two: The Advisory Council and Resident Servers of the Michael of Nébadon Institute shall have the right to speak at Ordinary and Extraordinary General Assemblies convened for this purpose.

Paragraph Three: Voting rights in General Assemblies are exclusive to Effective Associates, being exceptionally extended to members of the Advisory Council and/or to Resident Servers, exclusively when specifically convened for this purpose at Ordinary and/or Extraordinary General Assemblies.

Article 34. The General Assembly shall convene extraordinarily whenever necessary, and ordinarily once a year, to deliberate on the following matters:

I. Review and approval of the Annual Balance Sheet and other financial reports from the previous fiscal year, as well as the Budget and Annual Work Plan for the subsequent fiscal year;

II. Deliberation on the admission of new Effective Associates;

III. Deliberation on the establishment of the Advisory Council, according to Article 26 of the Social Statute, approval of its Internal Regulation, and appointment of its members, as well as deliberation on the appointment of servers who will compose the Fiscal Council, as set forth in Article 28 of the Social Statute;

IV. Deliberation on the creation of committees or commissions, either temporary or permanent, to support the development of specific projects or strategic areas of activity;

V. Evaluation of the performance and impact of the Institute’s projects and activities, proposing adjustments and improvements to the strategic planning as necessary;

VI. Deliberation on amendments, revisions, and modifications to the Social Statute of the Michael of Nébadon Institute;

VII. Deliberation on the eventual closure of the Michael of Nébadon Institute, allocating, by means of a Public Deed, all its net patrimonial assets to establish a Private Foundation, which shall be governed entirely by the same original rules, principles, purposes, and objectives of the Institute;

VIII. Deliberation on omitted cases and situations not explicitly foreseen in the Social Statute.

Article 35. It is exclusively incumbent upon the General Assembly to:

I. Dismiss administrators;

II. Call elections for new administrators.

Sole Paragraph: For these deliberations, a General Assembly specifically convened for this purpose is required, meeting the minimum quorum established in Paragraph Three of Article 19 of the Social Statute.

Article 36. The General Assemblies shall be convened by the President or upon request signed by at least 1/3 (one-third) of the Effective Associates.

Paragraph One: The convocation of General Assemblies, ordinary or extraordinary, shall be done through electronic communication with a request for confirmation of receipt, sent to the Effective Associates and, exceptionally, by deliberation, also to the Resident Servers and Counselors, at least 15 (fifteen) business days in advance.

Paragraph Two: The minimum quorum required for convening the General Assembly to deliberate on matters described in Article 17 of the Social Statute shall be 1/3 (one-third) of the Effective Associates.

Paragraph Three: The minimum quorum required for convening the General Assembly, ordinary or extraordinary, to deliberate on matters described in Article 18 of the Social Statute shall be 2/3 (two-thirds) of the Effective Associates.

Article 37. The General Assemblies may be held in person or virtually, as proposed by the President, Effective Associates, or Resident Servers.

Organizational Structure

Administrative Board

Article 38. The Administrative Board of the Michael of Nébadon Institute consists of the President, the Executive Director, and the Financial Director.

Paragraph One: The call for election and appointment of Effective Associates or Resident Servers to the positions within the Administrative Board must adhere to the following guidelines and personal and professional requirements:

I. Preferred requirements:

a) Completed Higher Education;
b) Minimum age of 33 years;
c) Bilingual, with fluency in a second language being mandatory.

II. Mandatory requirement:

Obtain a Technical and Professional Qualification Certificate, issued by the Education Department of the Michael of Nébadon Institute, which must necessarily cover the following areas of knowledge:

a) Subjects specifically related to the position;
b) Team leadership;
c) Project management;
d) Flluency in a second language

Paragraph Two: The term of office for members of the Administrative Board of the Michael of Nébadon Institute shall be 8 (eight) years, with no limit on re-election, as determined by the Constituent General Assembly.

Article 39. The President shall represent the Michael of Nébadon Institute judicially and extrajudicially, actively and passively, as well as before third parties in general, having the authority to appoint proxies on behalf of the Institute with specific powers and a fixed-term mandate, which shall never exceed the end date of the President's mandate who granted the power of attorney.

Paragraph One: The President shall be responsible for:

I. Coordinating and directing the general and specific activities of the Michael of Nébadon Institute;

II. Entering into cooperation agreements, partnerships, contracts, or affiliations of the Institute with public or private institutions or organizations, whether national or foreign, similar or dissimilar, aimed at fulfilling the Institute's statutory purposes and objectives;

III. Representing the Institute in events, campaigns, meetings, and other activities of institutional interest;

IV. Submitting annually to the Effective Associates the activity reports, financial, administrative, and project-related statements, accompanied by opinions issued by Independent Auditors or the Fiscal Council, if constituted, on the interim statements and annual balance sheet;

V. Preparing and submitting to the General Assembly the annual budget planning and annual work plan for approval;

VI. Proposing or suggesting amendments, revisions, or modifications to the Social Statute to the Effective Associates;

VII. Proposing the establishment, through a Public Deed, of a Private Foundation intended to manage the patrimonial assets of the Michael of Nébadon Institute;

VIII. Acquiring, disposing of, or encumbering movable and immovable property belonging to the Michael of Nébadon Institute;

IX. Performing other duties inherent to the position and not expressly provided for in the Social Statute.

Paragraph Two: In case of absence or impediment of the President, the Executive Director shall represent the Michael of Nébadon Institute, and in the absence or impediment of the Executive Director, the Financial Director shall assume this responsibility.

Article 40. The Executive Director represents the highest operational level of the Michael of Nébadon Institute, being responsible for leading the technical and administrative teams, as well as overseeing the Institute's strategic and budgetary planning.

Sole Paragraph: The responsibilities of the Executive Director include:

I. Overseeing the strategic direction of the Michael of Nébadon Institute, including the development and implementation of long-term strategies and daily operations;

II. Managing the organization's finances, including the annual budget, financial reporting, cash flow monitoring, expense control, and ensuring financial sustainability;

III. Overseeing the development, implementation, and evaluation of projects, programs, and initiatives, ensuring alignment with the Institute's objectives;

IV. Responsibility for acquiring and managing human, material, and financial resources, identifying and strengthening relationships with investors, partners, clients, and servers, developing strategies to achieve desired outcomes through institutional actions and enterprises;

V. Serving as the public representative of the Michael of Nébadon Institute, representing it externally at events, conferences, and engagements with media;

VI. Appointing Resident Servers or Effective Associates of the Institute to hold executive, administrative, and technical positions within the Michael of Nébadon Institute;

VII. Hiring, exceptionally, in the absence or unavailability of qualified Resident Servers, Volunteers, or Effective Associates, specialized professionals, consultants, qualified technicians, or specialized companies to provide services or supply products required by the Institute;

VIII. Drafting and updating the Internal Regulation and the Functional Organization Chart of the Michael of Nébadon Institute, submitting them to the General Assembly for approval;

IX. Performing other duties inherent to the role and not explicitly stated in the Social Statute.

Sole Paragraph: In case of temporary absence or impediment, the Executive Director shall formally appoint an interim substitute to temporarily assume their duties.

Financial Director

Article 41. Appointed and elected by the General Assembly, the Financial Director is responsible for the Financial Management of the Michael of Nébadon Institute, and must formally appoint an interim substitute to temporarily assume their duties in cases of absence or impediment.

Article 42. The Financial Director shall supervise, manage, and coordinate all activities related to the Institute's financial, accounting, fiscal, planning, and control areas, ensuring financial balance and compliance with institutional objectives.

Sole Paragraph: The specific duties of the Financial Director, in addition to others that may be established by the General Assembly or the Presidency, include:

I. Preparing the annual and multiannual financial planning of the Michael of Nébadon Institute, submitting it for consideration and approval by the Executive Director and the General Assembly;

II. Planning, coordinating, and implementing procedures for controlling financial transactions of the Institute, ensuring proper organization of documents, receipts, invoices, and supporting records, maintaining transparency and accuracy in accountability for acquisitions and contracted services;

III. Managing the budget, implementing rigorous financial controls, and periodically reporting the performance of actions related to the allocation of resources for the formation of the Gold Reserve Fund;

IV. Overseeing the management of accounts payable, ensuring timely fulfillment of the Institute’s financial obligations;

V. Coordinating and supervising financial operations, providing detailed and timely financial and managerial information to the other Directors and the Advisory Council of Administration upon request;

VI. Coordinating the preparation and presentation of quarterly and annual financial statements, detailed reports of revenues, expenses, investments, and balance sheets of the Michael of Nébadon Institute, fully complying with the provisions of Article 14, Item VIII, Article 39, Item IV, and Article 49, Item I of this Internal Regulation;

VII. Ensuring integrity, transparency, and sound governance of the Institute’s accounts and financial operations, strictly observing best administrative and fiscal practices;

VIII. Supervising and overseeing fundraising activities through donations, agreements, and institutional partnerships;

IX. Coordinating accountability reporting to oversight bodies and financial sponsors.

X. Operate bank accounts of the Michael of Nébadon Institute, with broad authority to:

1. Conduct electronic fund transfers;

2. Issue orders for monetary conversion into gold bars;

3. Issue purchase orders for national or foreign currency;

4. Make payments and sign checks;

5. Execute withdrawals against receipts;

6. Enter into foreign exchange contracts;

7. Access and use internet banking or similar systems;

8. Request and receive bank statements, cards, checkbooks, passwords, and related information;

9. Sign documents, forms, requests, and instructions related to financial transfers;

10. Provide and obtain any necessary information from financial institutions;

XI. Prepare and update the Internal Regulation, forms, and specific procedural guidelines for the financial area of the Michael of Nébadon Institute.

Article 43. The Financial Director shall be administratively, civilly, and criminally liable for any financial irregularities proven to be caused by bad faith, negligence, or omission in the execution of their duties.

Sole Paragraph: The Financial Director may be removed from office by decision of the General Assembly upon proven occurrence of serious faults, negligence, or omissions in the execution of their financial and administrative responsibilities.

Article 44. With the objective of advising the Administrative Board and the Servers of the Michael of Nébadon Institute in achieving its statutory objectives, the Effective Associates shall nominate to the General Assembly, in accordance with Article 17, Item III of the Social Statute, individuals of recognized competence, technical expertise, and integrity in their respective fields of knowledge to compose the Advisory Council.

Article 45. The Advisory Council shall be composed of a maximum of 24 (twenty-four) members and shall be governed by specific norms and procedures as defined by the General Assembly.

Paragraph One: The Advisory Council shall be structured into deliberative, technical, and special collegiate bodies, composed of 3 (three) advisors each, following the guidelines and recommendations set by the General Assembly.

Paragraph Two: The members of the Advisory Council and its collegiate bodies shall elect, by simple majority, a President, who shall coordinate its activities.

Paragraph Three – The decisions and opinions of the Advisory Council and its collegiate bodies shall be made by simple majority, with the President of the Council or the leader of each collegiate body having the casting vote in case of a tie.

Article 46. The Advisory Council shall also serve as a consultative and deliberative instance in disciplinary and procedural matters, ensuring compliance with institutional norms and principles of internal justice.

Paragraph One: Investigations of offenses and disciplinary infractions shall follow the procedural rules established in Chapter Seven of this Internal Regulation, being conducted by the competent sector of the Institute and deliberated upon by the advisors, in accordance with the organizational structure defined by the General Assembly.

Paragraph Two: The Council shall be organized into disciplinary collegiate bodies, composed of 3 (three) advisors each, serving as the first instance for internal case judgments, ensuring the right to a fair process and ample defense.

Paragraph Three: The Advisory Council, in consultation with the General Assembly, may establish a second instance for reviewing and ruling on appeals, in accordance with regulations and procedures defined by the Council itself and approved by the Assembly.

Article 47. When convened by the Administrative Board, in accordance with Paragraph Three of Article 30 of the Social Statute, the Fiscal Council shall act as the supervisory body for the financial and accounting administration of the Michael of Nébadon Institute, being composed of 3 (three) members of recognized integrity.

Article 48. The members of the Fiscal Council shall be nominated by the Effective Associates and appointed by the General Assembly, in accordance with Article 17, Item III of the Social Statute.

Article 49. The responsibilities of the Fiscal Council, or when applicable, of External Auditors, include:

I. Issuing a formal opinion on the financial and accounting reports and statements of the Michael of Nébadon Institute, presenting any necessary remarks;

II. Providing an opinion on any matters related to the assets of the Michael of Nébadon Institute, whenever necessary;

III. Attending General Assemblies, when convened, to provide clarifications on their opinions, whenever deemed necessary.

Paragraph One: The members of the Fiscal Council shall elect, by simple majority, a President, who shall coordinate the work of the Council.

Paragraph Two: The Fiscal Council shall deliberate by simple majority, with the President holding the casting vote in case of a tie.

Paragraph Three: The Fiscal Council may be convened, and its members called to duty at any time, upon request by the Effective Associates of the Michael of Nébadon Institute, or through the hiring of External Auditors, if so decided by the General Assembly.

Article 50. All resident and volunteer servers working in the Departments, Areas, and Sectors of the Michael of Nébadon Institute shall, in addition to the recommended or preferred professional qualifications for each position, obtain the Technical and Professional Training Certificate, issued by the Education Department of the Michael of Nébadon Institute, which must mandatorily cover the following areas of knowledge:

Article 51. The Communication Advisory Office is the administrative sector responsible for creating, developing, and disseminating institutional messages, ensuring interaction and communication alignment between the Executive Directorate and the body of resident and volunteer servers, at local, regional, national, and international levels. It is also responsible for managing external communication with the corporate media, product and service providers, affiliated establishments, and other target audiences, using the official communication channels of the Michael of Nébadon Institute, always in compliance with its identity and institutional principles.

Paragraph One: The Communication Advisory Office shall encompass the following strategic areas:

I. Public Relations: Management of institutional relationships with the community, government agencies, partner companies, and other stakeholders;

II. Internal Marketing: Communication directed toward Resident Servers, Effective Associates, and Councils, ensuring alignment with the principles and values of the Institute;

III. External Marketing: Strategies to strengthen the Institute’s presence in society and the global landscape;

IV. Advertising and Publicity – Promotion of the Institute’s programs, projects, and initiatives through institutional campaigns;

V. Institutional Journalism – Production and dissemination of informational content about the Institute’s activities, ensuring credibility and transparency.

Paragraph Two: The Communication Advisory Office is responsible for, in addition to other functions and tasks assigned by the Administrative Board:

I. Managing information flows, maintaining relationships with target audiences, and safeguarding the institutional image before the Human Community;

II. Planning, executing, and monitoring advertising pieces, promotional campaigns, and institutional marketing strategies, including corporate visual identity design;

III. Developing digital marketing strategies, managing social media, monitoring and analyzing mentions of the Michael of Nébadon Institute, and implementing actions to enhance its image and reputation.

Article 52. The Communication Advisory Office, together with the Administrative Board, shall be responsible for developing norms, procedures, forms, and the Internal Regulation specific to its area of activity.

Article 53. The Communication Advisory Office shall be organized in work pairs, consisting of one position holder and one alternate, ensuring continuity of activities in case of the primary holder’s absence or impossibility.

Article 54. To hold the position of Communication Advisor in the Administrative Directorate, the nominee must meet technical and professional criteria compatible with the function, and it is recommended that they possess:

I. A completed higher education degree in Communication, Journalism, Public Relations, Marketing, Advertising, or related fields;

II. Proven experience in organizational and institutional communication;

III. Flluency in a second language

Article 55. The Information Technology (IT) Department is responsible for the coordination, management, development, monitoring, and maintenance of the technological infrastructure of the Michael of Nébadon Institute, ensuring the integration of all sectors, departments, offices, and agencies within a unified and interconnected digital network.

Sole Paragraph: The execution of the strategic vision for IT shall be led by the High Administration, under the supervision of the Executive Director, who will establish the plans and operational guidelines for the implementation and development of the Institute’s digital structure.

Article 56. The Information Technology (IT) Department shall be responsible for the development, maintenance, and security of all digital and technological systems of the Institute, covering the following areas of specialization:

I. Institutional Infrastructure and Connectivity Development and maintenance of the integrated technological network, ensuring interconnectivity among all sectors, departments, offices, and agencies of the Institute;

II. Systems and Applications Development Creation and maintenance of software to optimize the management and operation of the Institute's services, enabling information sharing among teams regardless of geographic location;

III. Database Administration Structuring, securing, and managing institutional data, ensuring control and traceability of information within the Human Community;

IV. Network Infrastructure, Servers, and Data Centers Maintenance of connectivity, management of physical servers, cloud computing, and the development of proprietary Data Centers, ensuring security, performance, and scalability of the digital infrastructure;

V. Cybersecurity and Data Protection – Implementation of digital security protocols, prevention against cyberattacks, and compliance with international data protection regulations;

VI. Artificial Intelligence and Automation – Development of automation systems and machine learning solutions to enhance the efficiency of the Institute’s administrative and operational processes;

VII. Web Design and User Experience (UX/UI) – Creation and optimization of digital interfaces for portals, systems, and interactive platforms of the Institute;

VIII. Digital Communication and Social Media Management – Administration of digital interaction platforms and social networks, ensuring alignment with institutional identity;

Article 57. To be part of the Information Technology Department, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Computer Engineering, Computer Science, Systems Analysis and Development, Network Administration, Information Technology Management, or related fields;

II. Proven experience in at least one of the specialized areas listed in Article 56;

III. Practical knowledge in software development, digital security, network administration, system management, user experience (UX/UI), or IT infrastructure management.

Article 58. The Human Resources Management Department is responsible for the administration, development, training, and well-being of resident and volunteer servers of the Michael of Nébadon Institute, ensuring the organization of the hierarchical structure and promoting the integration of servers within the institutional vision.

Paragraph One: The responsibilities of the Human Resources Management Department include:

I. Managing the registration and organizational structure of servers, ensuring that all servers are properly recorded in the administrative system of the Institute;

II. Supervising and overseeing the fulfillment of technical and professional requirements necessary for each position, as defined in the Internal Regulation;

III. Organizing and administering the recruitment, selection, and integration of new servers, ensuring that each new member is received within the established hierarchy of the Institute;

IV. Ensuring that all servers participate in the Technical and Professional Training programs, as described in Article 50 of this Regulation;

V. Monitoring the performance and professional development of servers, conducting periodic evaluations, and recommending training and development programs;

VI. Developing and implementing organizational well-being policies, fostering practices that promote a harmonious environment, quality of life, and balance between work and personal development;

VII. Managing conflict resolution and institutional support, ensuring that disagreements among servers are addressed following the principles of the Institute;

VIII. Coordinating recognition and merit programs, ensuring that outstanding servers receive opportunities for growth within the organizational structure.

Article 59. To be part of the Human Resources Management Department, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Administration, Human Resources Management, Organizational Psychology, Business Pedagogy, Sociology, Labor Sciences, or related fields;

II. Proven experience in people management, recruitment and selection, human development, team leadership, or organizational administration;

III. Knowledge in institutional policies, internal regulations, organizational well-being management, and professional development;

IV. Skills in conflict resolution, mediation, and ethical and diplomatic dispute management;

V. Ability to operate within the hierarchical management of the Institute's servers, ensuring integration and balance within the organizational structure.

Article 60. The Department of Asset Management is responsible for the administration, control, monitoring, and distribution of all movable and immovable assets registered under the name of the Michael of Nébadon Institute, ensuring their proper use, maintenance, and preservation, always in alignment with the principles of community service and institutional sustainability.

Paragraph One: The resident servers of the Michael of Nébadon Institute do not own private property, as the entire patrimonial estate of the Institute is managed to serve the Human Community, in accordance with institutional guidelines.

Paragraph Two: The administration of the Asset Management Department shall be conducted at two levels of management:

I. Central Management – Responsible for the registration, monitoring, supervision, and allocation control of institutional assets, ensuring transparency and efficiency in patrimonial management;

II. Individualized ManagementEach resident server shall be directly responsible for the administration and maintenance of the assets under their use, ensuring their preservation and appropriate utilization.

Paragraph Three: The Department of Asset Management shall be responsible for:

I. Keeping an updated registry of all movable and immovable assets of the Institute, detailing their location, state of conservation, and the responsible user;

II. Supervising and ensuring that all assets are used in accordance with their institutional purpose, preventing waste and ensuring efficiency;

III. Planning and executing preventive and corrective maintenance of institutional assets, ensuring their longevity and full functionality;

IV. Managing the transfer and reallocation of assets, ensuring that resources are efficiently distributed based on strategic needs;

V. Implementing sustainable asset management policies, ensuring that the administration of the Institute’s assets is environmentally responsible and economically efficient.

Article 61. To be part of the Department of Asset Management, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Administration, Asset Management, Civil Engineering, Production Engineering, Architecture, Logistics, Economics, Public Management, or related fields;

II. Proven experience in asset management, control of movable and immovable property, auditing of assets, resource logistics, or infrastructure maintenance;

III. Knowledge in resource allocation planning, asset registration, property evaluation, and preventive and corrective maintenance processes;

IV. Expertise in asset monitoring systems, ensuring traceability and transparency of the Institute’s resources;

V. Ability to oversee the use and preservation of assets, ensuring that all resident and volunteer servers use institutional resources responsibly.

Article 62. The Department of Engineering and Architecture of the Michael of Nébadon Institute is responsible for the planning, development, coordination, and execution of construction and infrastructure projects, ensuring that all Institute facilities meet high standards of quality, sustainability, and economic efficiency, in alignment with the institutional principles of self-sufficiency and human development.

Paragraph One: The activities of the Department of Engineering and Architecture shall be guided by the following principles:

I. We invest in human beings, not in money – The focus of the Institute is to enable resident and volunteer servers to participate in the creation, construction, and renovation of their homes, schools, and workplaces, ensuring low cost and high quality without the intermediation of the traditional financial system.

II. Organized self-construction – All Institute projects will be developed collaboratively, utilizing trained internal labor to construct housing, schools, commercial establishments, and leisure spaces;

III. Sustainability and Efficiency – Implementation of modern construction techniques with high-quality materials and processes that ensure comfort, safety, aesthetics, and functionality, with minimal environmental impact and maximum resource efficiency;

IV. Infrastructure for the future – Development of model cities, villages, housing, and planned workplaces, establishing a new way of life for the Human Community.

Paragraph Two: The responsibilities of the Department of Engineering and Architecture include:

I. Designing, coordinating, and executing institutional construction projects, including housing, schools, health centers, urban infrastructure, and leisure spaces, ensuring that all resident servers have access to a comfortable and modern environment;

II. Developing and implementing sustainable construction techniques, using accessible, eco-friendly, and high-quality materials;

III. Managing the Institute’s infrastructure, ensuring preventive and corrective maintenance of all buildings and equipment;

IV. Training servers to participate in construction, enabling the Institute's community to have autonomy and technical expertise over their spaces;

V. Administering urbanization and territorial development projects, ensuring efficient planning for the expansion of the Institute's areas;

VI. Establishing construction norms and standards, ensuring that all buildings adhere to safety, aesthetic, and functionality guidelines;

VII. Managing engineering and architectural resources, ensuring that tools, materials, and equipment are used efficiently and transparently.

Article 63. To be part of the Department of Engineering and Architecture, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Civil Engineering, Production Engineering, Electrical Engineering, Mechanical Engineering, Environmental Engineering, Architecture and Urban Planning, Construction Management, Interior Design, Urban Planning, or related fields;

II. Proven experience in construction projects, infrastructure development, structural engineering, urban planning, architectural design, or project management;

III. Knowledge of sustainable construction methods, energy efficiency, material reuse, and ecological technologies applied to civil construction;

IV. Ability to work in construction management and execution, ensuring quality, safety, and compliance with the Institute’s architectural standards;

V. Competence in managing construction tools, equipment, and materials, ensuring efficient resource use and waste reduction;

VI. Experience in developing and implementing urban projects, ensuring that Institute constructions are planned for functionality, comfort, and aesthetics.

Article 64. The Department of Education is the internal body responsible for the research, development, planning, and execution of the Model School Project, as well as the continuous technical and professional training of the servers of the Michael of Nébadon Institute, at the local, regional, national, and international levels.

Paragraph One: The Department of Education will operate in two main areas:

I. The Model School Project – Aimed at the community, strengthening and complementing the basic and regular education of children, young people, and adolescents, while expanding access to educational programs that promote:

a) Development of technical and scientific knowledge – Training new scientists, researchers, inventors, technicians, and entrepreneurs;

b) Valuing art and thought – Identifying and encouraging writers, philosophers, composers, thinkers, and artists;

c) Expansion of human consciousness – An educational approach focused on emotional and intellectual development, preparing individuals to contribute to an evolved and advanced human community.

II. Technical and Professional Training of Institute Servers – The Department of Education will be responsible for the continuous and specialized education of all Institute servers, ensuring that each sector has highly qualified professionals, through:

a) Training and technical development programs – Certification and ongoing training to improve skills;

b) Bilingual and international education – Preparing servers for global integration and assignments in different regions;

c) Distance learning platforms – Providing accessible and continuous education to both Institute servers and the community.

Paragraph Two: The responsibilities of the Department of Education include:

I. Developing, implementing, and managing the Model School Project, ensuring its expansion and international reach;

II. Administering the Technical and Professional Training Certificate, ensuring compliance with the requirements established in Article 50 of this Regulation;

III. Creating and updating educational curricula and methodologies, ensuring alignment with the Institute’s goals;

IV. Managing the certification and internal recognition processes, ensuring that trained servers are officially acknowledged within the organizational structure of the Institute.

Article 65. To be part of the Department of Education, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Pedagogy, Psychopedagogy, Education, Linguistics, Philosophy, Educational Sciences, Neuroscience in Education, School Management, Physical Education, or related fields;

II. Proven experience in teaching, research, development of educational methodologies, curriculum planning, bilingual education, or educational management;

III. Knowledge of innovative teaching practices, active learning methodologies, emotional intelligence development, and humanistic education;

IV. Ability to contribute to the implementation and development of the Model School Project, ensuring high-quality education and student development;

V. Competence in managing technical and professional training programs for the Institute’s servers, ensuring all sectors have properly trained professionals;

VI. Experience in distance learning platform development and management, allowing accessible and continuous education for both servers and students;

VII. Capacity to promote integration between science, culture, art, and spirituality, ensuring that education supports intellectual and human development.

Article 66. The Investment Company of the Instituto Michael de Nébadon is a Strategic Mechanism developed by the Institute’s Senior Administration, created as an alternative to the current global economic and financial system. Its purpose is to enhance and amplify the positive financial results of entrepreneurs, businesses, and professionals by optimizing resources, reducing costs and expenses, and promoting sustainable growth. In return, it encourages allocating a portion of these results as investments in social, personal, professional, and entrepreneurial projects, benefiting the human community as a whole and fostering prosperity through an economic model based on self-sufficiency and excellence in service delivery.

Paragraph One: The Investment Company invests not only monetary resources allocated to the Institute but also, and primarily, material and human resources, applying them to individuals, teams, leaders, managers, administrators, and entrepreneurs, offering advisory services, support, and working capital to entrepreneurs, micro, small, medium, and large enterprises, except publicly traded corporations.

Paragraph Two: The operations of the Investment Company of the Institute will be guided by the following principles:

I. Investment in people, not in companies or businessesThe focus of the Investment Company of the Institute is to train, structure, and strengthen individuals, entrepreneurs, and professionals, providing support and necessary tools for them to achieve economic and financial autonomy;

II. Encouraging economic development without exploitationThe Company will provide advisory services, working capital, cost reduction strategies, marketing, and operational support, allowing businesses to thrive without the need for debt or financial exploitation;

III. Reinvestment in the community100% of the patrimonial wealth and results obtained by the Investment Company of the Institute are applied and reinvested directly for the benefit of the human community—the investing entity;

IV. Excellence as an economic modelThe Institute will establish the highest quality standards in all service sectors, ensuring that hotels, resorts, restaurants, leisure, transportation, and education become models of excellence in service delivery, without profit-driven motives;

V. Partnership with entrepreneursThe Institute will provide infrastructure, tools, machinery, and physical structures, allowing entrepreneurs to contribute with their labor and expertise without requiring initial capital or bank loans;

VI. Model Companies and the Provision of Accessible Services to Humanity – The Instituto Michael de Nébadon will develop model companies aimed at training entrepreneurs and improving service delivery across various sectors. These model companies will serve as a reference for micro, small, medium, and large enterprises seeking innovation and efficiency. For those who are not servers of the Institute, the services provided by these model companies will be available at symbolic prices, ensuring accessibility and excellence without competing with the private sector.

Paragraph Three: The responsibilities of the Investment Company include:

I. Establishing, managing, and maintaining monetary, material, and human resources allocated to the Institute, ensuring transparency and sustainability in the administration of the Human Community Gold Reserve Fund;

II. Planning, developing, and implementing investment projects, strengthening entrepreneurs and managers committed to the Institute’s principles;

III. Administering and supervising institutional enterprises, ensuring the provision of high-standard services at symbolic prices for the human community;

IV. Providing support and advisory services to business owners and entrepreneurs, helping them structure and develop their businesses independently of the traditional financial system;

V. Promoting the creation of businesses aligned with the Institute’s principles, ensuring that all projects are based on collective prosperity rather than individual profit-seeking.

Article 67. To be part of the Investment Company of the Michael of Nébadon Institute, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Administration, Economics, Financial Management, Accounting, Production Engineering, Business Management, Entrepreneurship, Corporate Law, International Trade, or related fields;

II. Proven experience in investment, financial management, fundraising, strategic planning, business consulting, or patrimonial fund management;

III. Knowledge of sustainable economic models, asset management, tax planning, and strategies for business development independent of the traditional financial system;

IV. Ability to work in investment management and administration, ensuring transparency and compliance with the Investment Company’s principles;

V. Capacity to provide support and specialized advisory services to business owners and entrepreneurs, assisting in the structuring of businesses aligned with the Institute’s principles;

VI. Experience in planning and implementing reinvestment strategies in the community, ensuring that resources are applied and managed efficiently and sustainably.

Article 68. The Project Management Office (PMO) of the Michael of Nébadon Institute is the internal body responsible for the planning, development, execution, and monitoring of institutional projects, ensuring that all initiatives are aligned with the Institute’s principles and objectives and generate a positive impact on the human community.

Paragraph One: The PMO will be composed of three interlinked structures, ensuring the evaluation, implementation, and efficient execution of projects:

I. Evaluation CommitteeResponsible for analyzing, approving, and monitoring the execution of projects submitted to the Institute, ensuring technical, financial, and strategic viability for each initiative;

II. Regional Project OfficesResponsible for implementing projects in local communities, ensuring that resources and actions are applied according to regional needs;

III. Social and Professional Project ManagementThe PMO will operate in two main areas, which represent the direct connection point between the Institute and the Human Community:

a) Social Projects: Focused on the human community, covering actions related to assistance, infrastructure, health, education, culture, and social development;

b) Professional Projects: Aimed at technical training and professional development for individuals with limited or no access to educational resources or academic opportunities, promoting the development of essential skills so they can contribute actively to the well-being and advancement of the human community.

Paragraph Two: The responsibilities of the PMO – Project Management Office include:

I. Planning, structuring, and implementing institutional projects, ensuring organization, transparency, and efficiency in execution;

II. Managing and supervising the Regional Project Offices, ensuring that actions are aligned with local needs;

III. Coordinating the Evaluation Committee, ensuring that all projects undergo rigorous analysis before implementation;

IV. Continuously monitoring and evaluating the impact of social and professional projects, ensuring sustainability and effectiveness in each initiative;

V. Providing strategic support for project managers, ensuring that each initiative has the necessary resources, structure, and proper oversight.

Article 69. To be part of the PMO – Project Management Office, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Project Management, Production Engineering, Administration, Economics, Social Sciences, Public Management, Public Policies, Urban Planning, Sustainable Development, or related fields;

II. Proven experience in managing and implementing social projects, coordinating multidisciplinary teams, territorial development, and strategic planning;

III. Knowledge of project management methodologies (PMBOK, Agile, Scrum, Prince2, Design Thinking, among others), social impact assessment, and performance indicators;

IV. Ability to oversee and monitor the execution of institutional projects, ensuring that resources are applied efficiently and sustainably;

V. Competence to coordinate Regional Project Offices and the Evaluation Committee, ensuring that all initiatives are analyzed, structured, and monitored with transparency and efficiency;

VI. Experience in planning and developing community and professional projects, ensuring a positive impact on society and alignment with the Institute’s principles.

Article 70. The Global Community Assistance Agency of the Michael of Nébadon Institute is the body responsible for managing and coordinating the implementation of Community Service Centers, ensuring that each Regional Community Assistance Agency meets the needs of the local community in accordance with the Institute’s principles.

Paragraph One: The Global Community Assistance Agency will be composed of Regional Agencies, structured according to the population density of each locality, ensuring efficient and personalized assistance to the communities served.

Paragraph Two: The Regional Community Assistance Agencies will operate in the following strategic areas:

I. Education – Implementation and development of the Model School Project, as outlined in Article 64 of this Regulation, including the establishment of physical schools, technical education, and professional training programs for the community;

II. Infrastructure – Mobilization of technicians and specialists in construction and renovation projects for homes, schools, and healthcare units, ensuring the maintenance and improvement of essential infrastructure for the human community;

III. LeisureRenovation and development of leisure spaces accessible to the population, promoting art, culture, and entertainment, including parks, theaters, art exhibitions, musical spaces, and initiatives to highlight unknown talents;

IV. PetsDevelopment of mobile and fixed veterinary clinics to assist abandoned animals and pets of families in still disadvantaged economic conditions, ensuring veterinary care and the establishment of sanctuaries and shelters for rescued animals;

V. HealthStructuring of medical and therapeutic care facilities, ensuring essential community healthcare services, in addition to construction and renovation projects to improve public healthcare infrastructure;

VI. Emergency AssistanceEmergency response in public calamities, including natural disasters, accidents, or incidents caused by unconscious acts, mobilizing local and mobile volunteer teams, providing logistical support, transportation of resources, and direct assistance to affected individuals;

VII. ReintegrationSupport and assistance to institutions promoting rehabilitation programs for individuals recovering from chemical or alcohol dependence, ensuring social and community reintegration, and offering opportunities to join the Institute’s volunteer teams;

VIII. Personal SupportProviding support for personal development projects to those in need, through the Regional Project Management Offices, ensuring that individual initiatives align with the Institute’s principles.

Paragraph Three: The responsibilities of the Global Community Assistance Agency include:

I. Managing and supervising the Regional Community Assistance Agencies, ensuring that each community center meets local needs efficiently and sustainably;

II. Coordinating the Regional Project Management Offices, ensuring that the implementation of social and community projects is carried out in accordance with the Institute’s principles;

III. Implementing strategies to optimize voluntary service provision, ensuring that teams are well-organized and trained to serve the assisted communities;

IV. Providing technical and structural support for Community Centers, ensuring modern, sustainable, and integrated infrastructure for community care;

V. Mobilizing and managing resources to ensure that all initiatives continue and reach the maximum number of beneficiaries.

Article 71. To be part of the Global Community Assistance Agency, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Social Work, Psychology, Sociology, Pedagogy, Public Health, Public Administration, Social Management, Public Policy, Civil Engineering, Veterinary Medicine, Physical Education, Social Tourism, or related fields;

II. Proven experience in community project management and coordination, social assistance, support for vulnerable populations, community infrastructure, animal welfare, public health, and volunteer organization;

III. Knowledge of social development policies, inclusion strategies, community mobilization, and resource management for social impact;

IV. Ability to oversee the organization and administration of Community Centers, ensuring that Regional Agencies are well-structured and fully operational;

V. Competence to coordinate emergency response in natural disasters, critical events, and social reintegration programs, ensuring that services are delivered efficiently, effectively, and compassionately;

VI. Experience in developing and implementing educational, cultural, sports, leisure, and infrastructure projects for the community, promoting inclusion and quality of life.

Article 72. The Investment Department of the Michael of Nébadon Institute is the strategic arm of the Institute’s Investment Company, responsible for managing and coordinating the Executive Investment Offices, providing operational support, advisory services, and infrastructure for entrepreneurs, micro, small, medium, and large companies, promoting cost reduction, economic efficiency, and accessibility of products and services to the human community.

Paragraph One: The Investment Department will have its headquarters at the Institute’s Official Headquarters, coordinating the Executive Investment Offices, which may be established in strategic locations, ensuring broader reach and support for entrepreneurs and partner companies.

Executive Investment Offices

Paragraph Two: The Executive Investment Offices will include specialized internal sectors, offering technical support and strategic advisory services to entrepreneurs and companies, including:

I. AccountingMandatory accounting and tax management for entrepreneurs and small businesses, complying with legal and regulatory requirements;

II. Legal AdvisorySpecialized legal advisory services, providing support for contracts, business regularization, and legal strategies aligned with the Institute’s model;

III. Marketing and Advertising – Development of branding, positioning, and communication strategies, assisting entrepreneurs and businesses in expanding their presence in the market sustainably;

IV. LogisticsOptimization of transportation, storage, and product distribution, creating an efficient model for cost reduction and broader accessibility of goods and services to the human community.

Paragraph Three: The operations of the Investment Department will be guided by the following principles:

I. The Institute as a strategic partner for entrepreneurs – The Institute will provide working capital, infrastructure, and operational support, enabling entrepreneurs and small businesses to grow sustainably;

II. Reduction of final costs for consumers – Through shared management of infrastructure, logistics, and specialized professionals, the Institute assists in lowering the prices of products and services for the local community;

III. Optimization strategies for medium and large companies – The Institute offers strategic consulting in marketing, logistics, and human resources management, promoting operational efficiency models that directly impact costs and accessibility for consumers;

IV. Alternative economic model to the traditional tax system – The Institute works on the development of solutions that reduce companies’ dependence on the conventional tax model, enabling wealth circulation and investments efficiently and sustainably.

Paragraph Four – The responsibilities of the Investment Department include:

I. Managing and coordinating the Executive Investment Offices, ensuring that the services provided align with the principles of the Institute’s Investment Company;

II. Providing strategic support to entrepreneurs and small businesses, assisting in the structuring and development of enterprises in accordance with the Institute’s principles;

III. Developing strategies to improve logistical, administrative, and accounting infrastructure, promoting efficiency and cost reduction for the community;

IV. Assisting in the creation of marketing, advertising, and institutional communication strategies for entrepreneurs and partner companies, supporting a solid and sustainable market positioning;

V. Supporting the development of solutions for an alternative economic model, reducing companies’ dependence on the traditional tax system and promoting a sustainable model of prosperity and abundance for humanity.

Article 73. To be part of the Investment Department, servers must possess qualifications compatible with their areas of expertise, and it is recommended that they meet the following criteria:

I. Higher education in Administration, Economics, Finance, Accounting, Corporate Law, Strategic Management, Entrepreneurship, International Trade, Business Management, Production Engineering, or related fields;

II. Proven experience in financial management, investment advisory, strategic planning, business structuring, logistics optimization, and human resource management;

III. Knowledge of financial markets, economic feasibility analysis, commercial negotiation, asset management, and alternative wealth circulation models;

IV. Ability to work in the management and administration of Executive Investment Offices, ensuring that services align with the principles of the Institute’s Investment Company;

V. Competence in structuring support strategies for entrepreneurs and small businesses, offering infrastructure, working capital, advisory services, and logistics for cost reduction;

VI. Experience in developing solutions for alternative economic models, promoting abundance and prosperity without the barriers of the conventional tax system.

Chapter Nine

Assets and Sources of Resources

Article 74. The assets of the Michael of Nébadon Institute will consist of donations from individuals and legal entities, both national and international, and may also be generated through the operation of non-profit economic activities or the provision of intermediary services to other institutions and organizations, whether public or private, national or international, associations, foundations, or individuals and legal entities, that operate in related areas or share common interests compatible with the Institute’s institutional objectives.

Article 75. The Michael of Nébadon Institute will not distribute any portion of its assets or revenues as profit or as participation in social results to its Effective Associates, Advisory Board Members, Resident or Voluntary Servers.

Paragraph One: All administrative and executive positions within the Michael of Nébadon Institute will be governed in accordance with Brazilian Law No. 9,608, of February 18, 1998, referring to Voluntary Service, ensuring coverage of all operational, ordinary, and extraordinary costs and expenses necessary for the performance of activities, as well as allowances and reimbursement of personal expenses, as stipulated in the annual budget plan.

Paragraph Two: The Michael of Nébadon Institute will not accept any type of donation or subsidy that could compromise its independence from donors or funders, its autonomy of action in relation to its institutional purposes, or any financial resource that could interfere with its ethical, moral, and spiritual commitment to God and the Human Community.

Chapter Ten

Financial Regime

Article 76. The fiscal year of the Michael of Nébadon Institute shall end annually on December 31.

Article 77. The annual financial statements shall be submitted to the General Assembly within the first sixty days of the following year, for review and approval.

Chapter Eleven

General Provisions and Updates

Article 78. The use of the corporate name of the Michael of Nébadon Institute in acts that involve the Institute in obligations related to business unrelated to its social purpose is expressly prohibited.

Article 79. The Internal Regulation may be revised and updated whenever necessary, provided that the principles and guidelines established by the Social Statute are observed.

Paragraph One: Proposals for revision or updating of the Internal Regulation may be submitted by Effective Associates, Resident Servers, and Advisory Board Servers.

Paragraph Two: It is the responsibility of the Executive Director to draft and update the Internal Regulation and the Functional Organizational Chart of the Michael of Nébadon Institute, submitting them for review and approval by the General Assembly.

Paragraph Three: Updated versions of the Internal Regulation will be officially published on the institutional website of the Michael of Nébadon Institute, ensuring transparency and access to all servers and interested parties.

Article 80. Cases not covered or unforeseen in these Internal Regulation will be evaluated and decided by the Administrative Board, always in compliance with the principles and objectives of the Michael of Nébadon Institute.
